1. General

The online AI LooP (AI Logistics Omnichannel Orchestration Platform) services and this website https://ai-loop.alpeadria.com (the "AI LooP Services") are developed, operated and offered to you by WaveCentric LTD ("WaveCentric", "us", "we" or "our").

The AI LooP Services (including the data and content on it) as well as your use thereof are subject to these Terms of Service (these "Terms"). You agree to accept and to be bound by these Terms (including any changes, modifications and/or replacements) by: (a) actually accessing and using the AI LooP Services, or (b) when registering to the AI LooP Services. If you are using the AI LooP Services on behalf of a company or organization, you ensure that you are entitled to bind that company or organization to these Terms. If you do not wish to agree with these Terms, please do not further access and/or use the AI LooP Services or do not register to the AI LooP Services.

WaveCentric reserves the right to amend, modify and/or replace all or part of the AI LooP Services and the data and content on it, as well as these Terms. Please check these Terms periodically for changes or modifications.

2. Use of the AI LooP Service

The AI LooP Services provide online tools that offer shippers, freight forwarders, and logistics operators with an overview and comparison of omnichannel logistics routes, real-time tracking, route optimization, and intelligent orchestration capabilities. Through the AI LooP service, logistics companies can publish their service data to make it available and visible in a public and in a private or personalized manner when selected.

WaveCentric does not offer any shipping routes directly and is not an agent for shipping routes or operators. The logistics routes and services are offered by third-party logistics companies and carriers and are subject to the terms and conditions of those companies.

The AI LooP Services may only be used by you as an end-user within the domains of WaveCentric and may not be deep-linked to and/or embedded in end user's and/or third party websites and/or services without the prior written approval of WaveCentric.

You are not permitted to use this website or the data displayed on it other than for the following purposes: (i) viewing this website; (ii) performing searches and route comparisons; (iii) requesting quotes and services; (iv) tracking shipments; (v) making use of other facilities that may be provided on the website. The use of automated systems or software to extract data from this website ('screen scraping') is prohibited unless you or the company you represent has directly concluded a separate written license agreement with WaveCentric for this purpose.

As an end-user, you are permitted to access, view and store the data and content obtained via the AI LooP Services for your own informational and operational purposes only. You shall have no other rights with respect to the AI LooP Services and/or any data and content obtained via the AI LooP Services, including without limitation, any right to otherwise use, distribute, furnish, resell or sublicense the AI LooP Services and/or data and content obtained via the AI LooP Services and/or any portion or derivative thereof.

The use of the AI LooP Services and the data and content made available through the AI LooP Services, as well as any decisions made based upon the AI LooP Services and/or the data and content on the AI LooP Services, are for your own account and risk.

3. User Accounts and Registration

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the AI LooP Services and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

WaveCentric reserves the right to refuse service, terminate accounts, or remove or edit content at our sole discretion.

4. Intellectual Property Rights

All copyrights and all other intellectual property rights regarding the AI LooP Services and all data and content made available through the AI LooP Services (including software, photographs, videos, illustrations, graphic elements, data, documents and other materials) shall remain the exclusive property of WaveCentric and its licensors, such as third-party data and content providers, and are explicitly reserved.

Without the prior written approval of WaveCentric, you are not permitted to reproduce the AI LooP Services and all data and content made available through the AI LooP Services by printing it out, downloading and/or distributing it to third parties, except as expressly permitted for your own operational use.

The AI LooP name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of WaveCentric or its affiliates or licensors. You may not use such marks without the prior written permission of WaveCentric. All other names, logos, product and service names, designs, and slogans are the trademarks of their respective owners.

5. User Content

If you post or upload to the AI LooP Services any documents, shipment data, tracking information, drawings, pictures, or other information or materials of any kind ("User Content"), you hereby grant WaveCentric a perpetual, royalty-free, worldwide, non-exclusive, irrevocable, transferable license to copy, reproduce, publish, distribute, sub-license, and share the User Content for the operation of the AI LooP Services.

You represent and warrant that: (a) the User Content you provided is correct and does not infringe any rights of third parties; (b) you have the right to post, upload, or send such User Content; and (c) you have the right to grant the license set out above.

WaveCentric reserves the right to verify, modify, or delete such User Content when deemed necessary or following a notice from a third party.

6. Confidential Information

You may not disclose to any third party any content you download from the AI LooP Services or otherwise receive from or on behalf of WaveCentric which is proprietary, marked as confidential, or would normally be considered confidential under the circumstances ("Confidential Information").

Confidential Information does not include information that: (a) has become publicly known through no breach of any obligations of confidentiality; (b) has been independently developed without access to the Confidential Information; (c) is received by you from a third party who has the lawful right to disclose such information; or (d) is required to be disclosed by law or by a governmental authority.

7. Prohibited Uses

You may use the AI LooP Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

• In any way that violates any applicable national or international law or regulation
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
• To impersonate or attempt to impersonate WaveCentric, a WaveCentric employee, another user, or any other person or entity
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services
• To use any robot, spider, or other automatic device, process, or means to access the Services for any purpose without our prior written consent

8. Disclaimer of Warranties and Limitation of Liability

THE AI LOOP SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WAVECENTRIC, ITS PARTNERS AND LICENSORS MAKE EVERY REASONABLE EFFORT TO MAKE AND MAINTAIN THE DATA AND CONTENT OF THE AI LOOP SERVICES AS UP-TO-DATE, ACCESSIBLE, ERROR-FREE AND COMPLETE AS POSSIBLE.

However, WaveCentric, its partners and licensors cannot and do not guarantee the accuracy and completeness of the data and/or the accessibility and/or availability of the AI LooP Services. WaveCentric, its partners and licensors make no representations or warranties of any kind, express or implied, as to the operation of the Services or the information, content, or materials included therein.

WAVECENTRIC, ITS PARTNERS AND LICENSORS SHALL NOT BE LIABLE FOR ANY LOSSES, DAMAGES, COSTS OR EXPENSES (INCLUDING BUT NOT LIMITED TO LOSS OF PROFIT, LOSS OF USE, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES) RESULTING FROM:

• Errors, omissions or other shortcomings in the information provided through the AI LooP Services
• Unavailability or malfunctioning of the AI LooP Services
• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use or alteration of your transmissions or content
• Decisions made based upon the AI LooP Services and/or the data and content on the Services

WaveCentric, its partners and licensors reserve the right to make modifications and corrections at all times and without prior notice. This clause does not exclude or limit the liability of WaveCentric for anything for which liability cannot be excluded or limited by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless WaveCentric and its licensors, partners, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

• Your use and access of the AI LooP Services
• Your violation of any term of these Terms
• Your violation of any third party right, including without limitation any copyright, property, or privacy right
• Any claim that your use of the Services caused damage to a third party
• Any User Content you submit, post, or transmit through the Services

10. Service Modifications and Termination

We may terminate or suspend your account and bar access to the AI LooP Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms.

If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

WaveCentric reserves the right to modify or discontinue, temporarily or permanently, the AI LooP Services (or any part thereof) with or without notice. You agree that WaveCentric shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Services.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

11. Third-Party Services and Links

The AI LooP Services may contain links to third-party websites, services, or logistics operators that are not owned or controlled by WaveCentric. WaveCentric has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites, services, or operators.

You further acknowledge and agree that WaveCentric shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites, services, or operators.

The logistics services, shipping routes, and carriers displayed on the AI LooP platform are provided by independent third parties. Any agreements for logistics services are made directly between you and the service provider. WaveCentric is not a party to such agreements and bears no responsibility for the performance or non-performance of third-party logistics services.

12. Privacy and Data Protection

WaveCentric processes personal data uploaded by you or collected through your use of the AI LooP Services in accordance with our Privacy Policy, available at: Privacy Policy.

By using the AI LooP Services, you consent to the collection, use, and processing of your data as described in our Privacy Policy.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the AI LooP Services after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use the Services.

14. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which WaveCentric operates, without regard to its conflict of law provisions.

Any dispute arising pursuant to or in connection with the AI LooP Services (or its use) and/or these Terms shall be solely submitted to the competent courts having jurisdiction over WaveCentric's principal place of business.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

15. Force Majeure

WaveCentric shall not be liable for any failure to perform its obligations where such failure results from any cause beyond WaveCentric's reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation, strikes or other labor disputes, wars, riots, earthquakes, floods, natural disasters, or any other similar cause.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and WaveCentric regarding the AI LooP Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
